(the "Company", "we", "us", "our")

This information is published in compliance with Article 10 of Spanish Law 34/2002 on Information Society Services and Electronic Commerce (LSSI-CE), which applies to us because the business is directed from Spain, and with the equivalent transparency expectations in the other markets we serve.

2. What these Terms cover, and what they do not

These Terms govern your use of this website and your submission of an application. They are not the agreement under which we deliver services to you.

If we accept your application and you decide to work with us, we will send you a separate written Services Agreement setting out the scope, the fees, the revenue share, the term and the specific commitments on both sides. That Services Agreement is the contract that governs the service. If anything in it conflicts with these Terms, the Services Agreement wins.

In other words:

  • This page: using the site, submitting the form, what an application does and does not mean, and the framework of the offer.
  • The Services Agreement: the actual deal.

By using this website or submitting the application form, you accept these Terms. If you do not accept them, do not use the site and do not submit the form.

3. Eligibility

To use this website and submit an application you must:

  1. be at least 18 years old;
  2. be acting in the course of your trade, business, craft or profession — our services are offered business-to-business and are not intended for consumers (see Section 16);
  3. have the authority to enter into a binding agreement, on your own behalf or on behalf of the entity you represent;
  4. not be located in, or resident of, a country or territory subject to EU, UK, US or UN sanctions that would make it unlawful for us to provide services to you;
  5. give us information that is true, accurate and complete.

We may refuse or terminate access to the site or to the application process at any time, for any lawful reason.

4. The application is an application — not an agreement

When you complete the form on this website:

  • you are asking us to assess whether you are a fit for our services;
  • you are not buying anything, and no payment is taken at that point;
  • we are not obliged to accept you. We decline most applications. We may decline without giving a reason;
  • you are not obliged to proceed if we do accept you;
  • the form and the survey ask for business information, including a revenue range. You should answer honestly. If you misstate your situation materially — for example, your audience size or your revenue — we may decline you, or terminate a later agreement, and any guarantee under Section 8 will not apply.

Booking a call does not create a contract. The call is a conversation. A contract only exists once you and we have both signed a Services Agreement, or you have otherwise expressly accepted a written proposal from us and we have confirmed acceptance in writing.

5. The services, in outline

Subject to a signed Services Agreement, we build and operate the commercial engine behind an existing audience. Depending on what we agree, that may include:

  • designing and positioning a coaching or service offer;
  • building the funnel, landing pages, forms and booking infrastructure;
  • creating the sales assets, including scripts and video assets;
  • setting up and operating the CRM, pipelines and follow-up;
  • providing or managing appointment setting and sales conversations;
  • running paid acquisition, where agreed;
  • ongoing optimisation, reporting and strategic direction.

What we do not do. We do not provide legal, tax, accounting, financial, investment, medical or immigration advice. We are not a recruitment agency, a marketing regulator, a licensed financial adviser or a law firm. Nothing we provide should be relied on as professional advice in any of those fields, and you should take your own professional advice on matters that require it — in particular on the tax treatment of your revenue and on the advertising rules that apply to your own offer in your own market.

Who delivers. Services may be delivered by Dave van Vliet personally, by our team, or by subcontractors we select. We remain responsible to you for the work, whoever performs it. We do not guarantee that any specific individual will perform any specific task unless the Services Agreement says so.

6. Fees and payment

The commercial terms are set out in your Services Agreement. As a framework:

6.1 Structures

We offer the service on one of the following bases, and which one applies to you will be stated in your Services Agreement:

  • a revenue share — an agreed percentage of the new revenue the engagement generates, as that term is defined in your Services Agreement; or
  • a fixed fee, charged as agreed; or
  • a combination of a fixed component and a revenue share.

We also offer a lower-cost mentorship programme for applicants for whom the full service is not appropriate. Its terms are set out in its own agreement.

6.2 No price is published on this website

Nothing on this website is an offer capable of acceptance. Pricing is given to you in writing after the qualification call and is valid for the period stated in the proposal.

6.3 Currency, taxes and invoicing

Unless stated otherwise, amounts are in US dollars (USD). Amounts are stated exclusive of VAT (IVA) and any other applicable tax, duty or levy, which you pay in addition where it applies.

  • If you are a business established in the EU outside Spain with a valid VAT number, we will apply the reverse charge under Article 196 of Directive 2006/112/EC, and VAT is your responsibility in your member state.
  • If you are a business established outside the EU, the service is generally outside the scope of Spanish VAT.
  • If you are established in Spain, Spanish IVA applies at the prevailing rate.
  • You are responsible for any withholding tax imposed by your jurisdiction; amounts payable to us are grossed up so that we receive the amount we would have received had no withholding applied, unless your Services Agreement says otherwise.
  • It is your responsibility to give us accurate billing and tax details, and to tell us promptly if they change.

6.4 Payment terms

Invoices are payable within 30 days of the invoice date unless your Services Agreement says otherwise. Where a revenue share applies, you agree to give us accurate and timely access to the revenue data needed to calculate it, in the manner set out in your Services Agreement, and to a reasonable right of verification.

6.5 Late payment

If you pay late, we may charge interest at the statutory rate under Spanish Law 3/2004 on combating late payment in commercial transactions, and we may suspend the services until payment is made. We will give you written notice before suspending.

6.6 Chargebacks

If you raise a chargeback or payment dispute without first contacting us and giving us a reasonable opportunity to resolve the issue, you are in breach of these Terms and we may suspend the services and recover our costs of responding.

6.7 Refunds

Except where the Guarantee in Section 8 applies, where a statutory right of withdrawal applies under Section 16, or where your Services Agreement provides otherwise, fees are non-refundable once the services have begun. This is because the work is bespoke and begins immediately on your specific business.

7. Your obligations

The service is done for you, not without you. Our work depends on you doing a small number of things, and the Guarantee in Section 8 depends on it absolutely. You agree to:

  1. be reachable — respond to our messages and requests within 2 business days, and attend scheduled calls or reschedule with reasonable notice;
  2. give us access to the accounts, platforms, analytics and data we need, including your audience channels, within the timescales we agree, and keep that access live for the term;
  3. publish or post what we agree you will post, at the agreed frequency, where the engagement depends on your audience seeing the offer;
  4. show up to the sales conversations that are assigned to you, if the agreed model has you taking any;
  5. deliver the service you sell. We build and fill the machine; you must honour what your clients buy. We are not responsible for your fulfilment, and your failure to fulfil is a breach of these Terms;
  6. keep your own business lawful — including holding any licence, registration, insurance or qualification your offer requires in your market, complying with the advertising, consumer-protection and data-protection laws that apply to your own customers, and not making claims about your offer that you cannot substantiate;
  7. not instruct us to do anything unlawful or deceptive, including making income claims about your own offer that you cannot substantiate, using testimonials you do not have permission to use, or marketing to people who have not consented where consent is required;
  8. pay on time, as set out in Section 6.

If you do not do these things, we may suspend the services on written notice, and the Guarantee will not apply. We will tell you clearly and in writing if we consider you to be in breach, and give you a reasonable chance to fix it, before suspending or terminating.

8. The Guarantee

8.1 What we promise

If you are accepted as a Done-For-You client and sign a Services Agreement, then provided you have complied with Section 7 and with clause 8.3 below, and the engagement has not produced at least one Qualifying Month within six (6) months of the Start Date:

  • you owe us nothing — we will not invoice you for that period, and we will refund any fees already paid in respect of it; and
  • we will pay you USD 1,000 as a fixed, agreed amount in recognition of your time.

8.2 Definitions

"Start Date" means the date stated in your Services Agreement, which is the later of (a) the date you sign and (b) the date you have given us all of the access, assets and approvals listed in the onboarding schedule. The clock starts when we can actually begin.

"Qualifying Month" means any single calendar month, falling wholly within the Guarantee Period, in which at least USD 20,000 in Qualifying Revenue is collected.

"Qualifying Revenue" means amounts actually collected and not refunded, charged back or cancelled, from new clients or new offers generated through the engagement. It is measured as cash collected in the month, not as invoiced, contracted or booked revenue, and not as the cumulative total across months. It excludes: revenue from your pre-existing clients, revenue from offers we did not work on, taxes, and refunded, disputed or cancelled amounts.

"Guarantee Period" means the six (6) months beginning on the Start Date, extended by any period of delay caused by us or by a force majeure event under clause 18.7.

You only need one such month. The Guarantee is satisfied the first time a calendar month inside the Guarantee Period reaches USD 20,000 in collected cash. We do not have to sustain it, and a later month below USD 20,000 does not revive the Guarantee.

8.3 Conditions

The Guarantee applies only if, for the whole Guarantee Period, you:

  1. attended the scheduled calls and were reachable within the response time in Section 7.1;
  2. kept creating and publishing content at the cadence agreed in your Services Agreement. This is the condition Dave states personally, and it is the one most often broken: if you stop posting, the engagement has nothing to convert and the Guarantee lapses;
  3. gave the information in your application and on the qualification call truthfully, in particular about your audience size, engagement and current revenue;
  4. did not terminate the engagement early, pause it, or unilaterally change the offer, pricing or positioning without our written agreement;
  5. did not refuse to implement a material recommendation we made in writing;
  6. gave us the access and data needed to calculate Qualifying Revenue, and allowed reasonable verification;
  7. were not in breach of payment obligations;
  8. honoured and delivered the service to the clients the engagement produced;
  9. did not engage, during the Guarantee Period, another provider to perform substantially the same services in a way that makes attribution impossible.

8.4 How to claim

Write to [email protected] within 30 days of the end of the Guarantee Period, stating that you are claiming, and give us access to the revenue data for the period. We will respond within 15 days confirming whether the Guarantee applies. If it does, we will pay the USD 1,000 and process any refund within 30 days of that confirmation, by the same method you paid or by bank transfer.

8.5 Limits

The Guarantee is: available once per client; not transferable; not assignable; available only to clients on the Done-For-You engagement and not to the mentorship programme unless its own agreement says so; and it is your sole and exclusive remedy for the engagement failing to reach the revenue figure. It does not limit any statutory right you have that cannot lawfully be excluded.

8.6 What the Guarantee is not

The Guarantee is a contractual remedy for a shortfall. It is not a prediction, a projection, a representation or a guarantee that you will earn USD 20,000 or any other amount, and "you don't pay" does not mean "you lose nothing" — your own advertising, tooling, team costs and time remain yours. See the Earnings Disclaimer, which forms part of these Terms.

9. Intellectual property

9.1 Ours stays ours

All content on this website — the text, the video, the design, the layout, the graphics, the DaveyBiz name and logo — and all frameworks, templates, scripts, systems, playbooks, tooling and methodology we use or develop in delivering the services, belong to us or our licensors. Nothing in these Terms transfers any of it to you.

9.2 What you may do with the website

You may view it and print or save a copy for your own internal reference. You may not copy, republish, scrape, resell, frame, mirror or systematically extract it, use it to train a machine-learning model, or remove any notice from it, without our prior written permission.

9.3 What you get as a client

Your Services Agreement will give you a licence to use the specific assets we create for your business — your funnel, your copy, your creative — for your business, for as long as the licence says. Unless your Services Agreement expressly assigns ownership to you, you receive a licence and not ownership, and our underlying frameworks and tooling remain ours.

9.4 Yours stays yours

Your brand, your name, your audience, your existing content and your client list remain yours. You grant us a limited licence to use them only as needed to perform the services.

9.5 Testimonials and case studies

We will only use your name, image, logo, handle, video or results in our marketing with your separate written permission. You may withdraw that permission at any time by writing to [email protected]; we will remove the material from channels we control within a reasonable time, and we cannot recall copies that third parties have already saved or republished.

9.6 Feedback

If you send us ideas or suggestions about our services, we may use them without obligation to you. Please do not send us anything you consider confidential or proprietary in that context.

10. Confidentiality

Each of us may receive confidential information from the other — your revenue figures, your strategy and your client data on one side; our frameworks, pricing and methodology on the other. Each of us agrees to keep the other's confidential information confidential, to use it only for the engagement, to protect it with at least reasonable care, and not to disclose it except to people who need it and are bound by equivalent obligations, or where disclosure is legally required.

This obligation lasts for 3 years after the engagement ends, and indefinitely for anything that is a trade secret. It does not apply to information that is public, that the recipient already had, or that the recipient independently develops.

Where we process personal data belonging to your customers or audience in the course of delivering the services, we do so as your processor, under a separate written data processing agreement that meets Article 28 GDPR. Our handling of your own personal data is described in our Privacy Policy.

11. Third-party platforms

The services depend on platforms we do not control — including Meta, Panda Video, GoHighLevel, Stripe, PayPal, Whop, Zoom, WhatsApp and your own audience platforms.

You acknowledge that:

  • those platforms can change their rules, pricing, algorithms, APIs or availability at any time, without notice to us or to you;
  • they may suspend, restrict or terminate an account, including yours, for reasons outside our control;
  • advertising platforms may reject, limit or disapprove advertising for reasons that are opaque and not appealable;
  • we are not responsible for the acts, omissions, outages, policy decisions, account actions or pricing of any third-party platform, and such events are not a breach of these Terms by us;
  • you remain bound by each platform's own terms, and you are responsible for your own accounts and for any consequence of your own prior conduct on them.

Where a platform action materially prevents us from delivering, we will tell you promptly and work with you in good faith on an alternative. Platform disruption outside our control does not, by itself, trigger the Guarantee — but nor will we count against you a delay we caused.

12. Limitation of liability

12.1 Nothing excluded that cannot be excluded

Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, for wilful misconduct, or for any other liability that cannot lawfully be limited or excluded — including any non-excludable right or guarantee you may have under the Australian Consumer Law, the New Zealand Consumer Guarantees Act 1993, the UK Consumer Rights Act 2015 or Spanish and EU consumer legislation, where those apply to you.

12.2 What we are not liable for

Subject to 12.1, we are not liable for:

  • loss of profit, loss of revenue, loss of anticipated savings, loss of business, loss of opportunity, loss of goodwill or reputational loss;
  • loss or corruption of data, except to the extent caused by our failure to meet the security obligations in our data processing agreement;
  • any indirect, special, incidental, consequential or punitive loss;
  • loss caused by your own breach of Section 7, by information you gave us that was inaccurate, by your failure to deliver to your own clients, or by your own unlawful or non-compliant conduct;
  • loss caused by a third-party platform, as described in Section 11;
  • loss arising from a decision you took in reliance on general information on this website, as opposed to written advice we gave you under a Services Agreement.

12.3 Cap

Subject to 12.1, our total aggregate liability arising out of or in connection with the services, whether in contract, tort (including negligence), breach of statutory duty or otherwise, is limited to the greater of: (a) the total fees you actually paid us in the 12 months before the event giving rise to the claim; and (b) USD 1,000.

12.4 Website use

This website is provided "as is". We do not warrant that it will be uninterrupted or error-free, or that it or any server is free of malicious code. Subject to 12.1, we accept no liability for loss arising from your use of, or inability to use, this website, or from reliance on any general information on it.

12.5 Time limit

Subject to 12.1, any claim must be brought within one year of the date you became aware, or ought reasonably to have become aware, of the circumstances giving rise to it.

12.6 Allocation of risk

You acknowledge that these limits are a reasonable allocation of risk given the fees charged and the fact that the commercial outcome of the engagement depends substantially on factors within your control.

13. Indemnity

You agree to indemnify us against any claim, demand, loss, liability, fine, penalty or reasonable cost (including legal fees) arising out of:

  • your breach of these Terms or of your Services Agreement;
  • the offer, product or service you sell, including any claim by one of your clients about it, and any failure by you to deliver it;
  • claims you instructed us to make that you could not substantiate, or marketing material you approved;
  • your own compliance failures — licensing, tax, consumer protection, advertising, spam or data protection — in relation to your own customers or audience;
  • your infringement of a third party's intellectual property, or of a platform's terms.

We will notify you promptly of any claim, not settle it without your consent, and give you reasonable cooperation at your cost.

14. Term, suspension and termination

14.1 These Terms apply for as long as you use the website. Your Services Agreement will state its own term, notice periods and termination rights.

14.2 We may suspend or terminate your access to the website or to the application process, and (subject to the Services Agreement) the services, if you:

  • materially breach these Terms or your Services Agreement and do not fix it within 14 days of written notice, where it can be fixed;
  • fail to pay an undisputed invoice after 14 days of written notice;
  • give us materially false information;
  • ask us to do something unlawful or deceptive, or behave abusively towards our team.

14.3 You may stop using the website at any time, and you may withdraw your application at any time by emailing [email protected].

14.4 Effect of termination. On termination: you pay for work properly performed up to that date; each of us returns or deletes the other's confidential information on request, subject to legal retention obligations; licences we granted you over delivered assets continue only as stated in your Services Agreement; and Sections 9, 10, 12, 13, 15, 16 and 17 survive.

14.5 Terminating early, or being terminated for your breach, means the Guarantee in Section 8 does not apply.

15. Results, claims and testimonials

15.1 We do not guarantee any particular financial result. The outcomes described anywhere on this website, including in testimonials, case studies and any interactive estimator, are examples and illustrations, not promises or projections. Your result depends on your audience, your offer, your market, your delivery, your pricing, your effort and factors none of us controls.

15.2 Our Earnings Disclaimer forms part of these Terms and you should read it in full before applying. Where this page and the Earnings Disclaimer address the same subject, the Earnings Disclaimer prevails.

15.3 Any estimator, slider or calculator on this website is an arithmetic illustration of inputs you choose. It is not a forecast, not personalised advice, and not based on any assessment of your business. We do not represent that any figure it displays is achievable by you.

15.4 Testimonials are the genuine, unpaid statements of real clients, used with permission, and describe those clients' individual experiences. They are not typical. Whether a person giving a testimonial received any benefit for it is disclosed next to the testimonial where applicable.

16. If you are a consumer

Our services are offered business-to-business, to people operating a trade, business or profession. We do not intend to contract with consumers, and Section 3 requires you to confirm that you are acting in a business capacity.

However, if a court or authority determines that you were in fact acting as a consumer under the law applicable to you, then:

16.1 Statutory rights

You keep every right the law gives you that cannot be contracted out of. Nothing in these Terms affects those rights, and where any clause here would reduce them, that clause does not apply to you to that extent.

16.2 Right of withdrawal (EU/EEA and UK consumers)

You have 14 days from the conclusion of the contract to withdraw without giving a reason, under Directive 2011/83/EU and, in Spain, Articles 102 ff. of Royal Legislative Decree 1/2007. To withdraw, write to [email protected] with a clear statement. We will refund you within 14 days of being informed, using the same payment method.

Important: if you ask us to begin the services during the 14-day period and we fully perform them within it, you lose the right of withdrawal. If we have partly performed, you pay a proportionate amount for what was done. We will ask you to confirm both of these expressly in writing before starting early.

16.3 Dispute resolution

You may bring a complaint to the consumer arbitration or alternative dispute resolution body competent in your place of residence, or to the Spanish consumer authorities. Note: the European Online Dispute Resolution Platform was discontinued on 20 July 2025 under Regulation (EU) 2024/3228, so no ODR link is provided here.

16.4 Jurisdiction

Section 17 does not deprive you of the protection of the mandatory law of your country of habitual residence, nor of your right to bring proceedings in the courts of that country.

17. Governing law and jurisdiction

17.1 These Terms, and any dispute arising out of or in connection with them or with our services, are governed by the laws of the State of Wisconsin, United States of America, excluding its conflict-of-laws rules and excluding the United Nations Convention on Contracts for the International Sale of Goods.

17.2 Subject to 17.3, the state and federal courts located in the State of Wisconsin have exclusive jurisdiction.

17.3 Where you are a consumer, 17.1 and 17.2 apply only so far as they do not deprive you of the protection of the mandatory rules of your country of habitual residence (Article 6 of Regulation (EC) No 593/2008) or of your right to sue and be sued in the courts of your own domicile (Articles 17–19 of Regulation (EU) No 1215/2012, or the equivalent rule in your jurisdiction).

17.4 Talk to us first. Before starting proceedings, each of us agrees to raise the issue in writing and to attempt in good faith to resolve it within 30 days. This does not prevent either of us from seeking urgent injunctive relief.

18. General

18.1 Changes. We may change these Terms. The current version is always at this URL with its "Last updated" date. Changes apply to website use and to applications made after they are posted; they do not retroactively change a signed Services Agreement, which can only be varied in writing by both of us. For material changes we will post prominent notice on the site.

18.2 Electronic contracting. You agree that contracts may be formed electronically, that an electronic signature or a clear act of acceptance is binding, and that the record we keep of your submission is admissible evidence of it. Where Articles 27 and 28 LSSI-CE require it, we will confirm receipt of your acceptance by email or by displaying a confirmation on screen.

18.3 Notices. Notices to us go to [email protected]. Notices to you go to the email address you gave us. Email notice is deemed received on the next business day. For termination or a Guarantee claim, email is sufficient; keep a copy.

18.4 Assignment. You may not assign or transfer these Terms without our written consent. We may assign them to a successor in connection with a reorganisation or sale of the business, on notice to you, provided your rights are not reduced.

18.5 Subcontracting. We may use subcontractors. We remain responsible for their performance.

18.6 No partnership. Nothing here creates a partnership, joint venture, agency, franchise or employment relationship. A revenue share is a method of calculating our fee; it does not make us partners, and it does not give us any ownership of, or liability for, your business. Neither of us can bind the other.

18.7 Force majeure. Neither of us is liable for a failure caused by an event beyond reasonable control — including natural disaster, war, civil unrest, epidemic, strike, failure of utilities or of telecommunications, government action, or the failure or policy decision of a third-party platform. The affected party will notify the other promptly and the obligations are suspended for the duration. If it lasts more than 60 days, either of us may terminate without liability, and fees for work not performed are refunded. Time lost to a force majeure event extends the Guarantee Period by the same number of days.

18.8 Severability. If a provision is held invalid or unenforceable, it is modified to the minimum extent necessary to make it enforceable, or severed, and the rest stands.

18.9 No waiver. Not enforcing a right is not a waiver of it.

18.10 Entire agreement. These Terms, together with the Privacy Policy, the Cookie Policy, the Earnings Disclaimer and your Services Agreement, are the entire agreement between us on their subject matter, and supersede prior discussions. Nothing in this clause limits liability for fraudulent misrepresentation.

18.11 Third parties. No one other than you and us has any right to enforce these Terms.

18.12 Language. These Terms are drawn up in English, which is the governing language. Any translation is for convenience; in the event of conflict, the English version prevails, except where mandatory consumer law requires otherwise.

18.13 Headings are for convenience and do not affect interpretation.
